Unless a Service Agreement has been signed, these General Terms and Conditions of Sale apply to all business dealings with BLUELEMON.

BLUELEMON is an independent advertising and digital marketing agency specializing in digital marketing strategy, online advertising (SMA, SEA), content creation, audiovisual production, influencer marketing, ambassador programs, and brand activation.

BLUELEMON aims to provide its clients with the benefits of its market knowledge, its working methodologies, its expertise in advertising platforms (Google Ads, Meta Ads, LinkedIn Ads, etc.), as well as its content creation and production capabilities.


The purpose of these General Terms and Conditions of Sale is to define the terms and conditions under which BLUELEMON, a simplified joint-stock company with a share capital of €4,167, registered with the Nanterre Trade and Companies Register under number 884 438 623, with its registered office located at 64 rue Anatole France – 92300 Levallois-Perret, represented by its current President, duly authorized for the purposes hereof (hereinafter “BLUELEMON”), provides consulting services, content creation, production, influencer marketing, digital activation, and the distribution of advertising campaigns to its clients, whether individuals or legal entities, domiciled in France or abroad (hereinafter the “Clients”).


, BLUELEMON, and the Customer are referred to individually as “a Party” and collectively as “the Parties.”

Article 1: Definitions

This article defines the key terms contained in these General Terms and Conditions for the Publication of Advertisements:


“Budget”: Refers to the budget allocated by the Client over a specific period for the purpose of broadcasting advertising messages intended to directly or indirectly promote its brands, trademarks, products, services, promotional offers, etc.


“Advertising Campaign”: Refers to the dissemination of Advertising Messages on the internet and across all social media platforms carried out by BLUELEMON on behalf of its Client in accordance with the Order.


“Order”: Refers to the order placed by the customer with BLUELEMON specifying the allocated budget, the period, and the content of any advertising messages to be broadcast;


“Quote” or “Project Proposal”: refers to the document provided by BLUELEMON to the Client summarizing all Services ordered by the Client, their cost, and the payment schedule. The Quote or Project Proposal is valid for 1 month.


“Advertising space”: Refers to one or more spaces used to display advertising messages, particularly but not exclusively through social media;


“Advertisement”: Refers to any message (including banners, videos, infographics, posts, stories, emails, and newsletters) intended to directly or indirectly promote the Client’s brands, trademarks, products, services, and promotional offers, whether provided by the Client or created by BLUELEMON, in accordance with the General Terms and Conditions for the Creation of Advertisements.


“Advertising Platform” means any advertising agency and, more generally, any business entity that provides its clients with advertising space and other tools for conducting advertising campaigns.


“Services”: Refers to the services provided by BLUELEMON as described in Article 4 herein.


“Site”: Refers to the BLUELEMON website accessible at the following URL: https://bluelemon.io/

“Content”: any creative material produced or used in connection with the services (video, UGC, influencer content, script, etc.)

Article 2: Acknowledgment and Acceptance

2.1. These General Terms and Conditions for the Distribution of Advertising Messages are available on the Website:
. Consequently, any Customer who contacts BLUELEMON is deemed to have read and expressly accepted these General Terms and Conditions for the Distribution of Advertising Messages.


2.2. These General Terms and Conditions for the Publication of Advertisements supersede any conflicting provisions, whether printed or not, proposed by the Client or used as the basis for drafting the Client’s Order, unless such provisions have been expressly and explicitly accepted by BLUELEMON.


2.3. However, it is understood that these General Terms and Conditions for the Publication of Advertising Messages do not preclude the application of the General Terms and Conditions for the Creation of Advertising Messages, which are also available on the Website, in the event that the Advertising Messages covered by the Advertising Campaign were produced/created by BLUELEMON.


2.4. By signing a quote, signing a contract, or using BLUELEMON’s advertising message distribution services, the Customer acknowledges that they have read these Terms and Conditions and accepts all the provisions and rules set forth herein without reservation. Any signing of a quote, commencement of a project, or use of BLUELEMON’s services constitutes unconditional acceptance of these General Terms and Conditions. In the event of a conflict between these General Terms and Conditions and a signed contract or quote, the latter shall prevail.

Article 3: Order & Quote

3.1. Upon initial contact, the Client shall provide BLUELEMON with a detailed description of its requests and needs, including the budget allocated to the proposed advertising campaign.


3.2. Within a reasonable timeframe, BLUELEMON will provide the Client with a Quote or a Project Proposal describing the Services that BLUELEMON will perform to meet the Client’s needs.
In addition to the mandatory legal notices, this quote shall contain at a minimum the following elements: the amount of the advertising campaign management fees to be paid by the Client, as well as a detailed budget proposal designed to adequately meet the needs and objectives set forth by the Client.
At any time during the performance of the Contract, the parties remain free to revise this Budget upward.


3.3. The Order is confirmed and the contract is formed when the Client has accepted BLUELEMON’s Quote or Project Proposal.
Acceptance of the Quote constitutes acceptance of these General Terms and Conditions for the Distribution of Advertising Messages and of any approved Specifications and/or Project Proposal.

The operational launch of the mission is contingent upon:

  • approval of the quote
  • upon receipt of the first payment, if applicable
  • the provision of necessary materials (access, content, information)


3.5. BLUELEMON may, at its discretion, use the Budget agreed upon contractually with its Client under the terms set forth in Sections 3.1 through 3.3 herein.
BLUELEMON agrees to use the Budget solely for the purpose of fulfilling its obligations, as set forth in Section 4 herein.
Each month, BLUELEMON will confirm the initial amount of this Budget as indicated in the Order and will communicate, in addition to the information referred to in Article 5 herein, the remaining balance available to continue the distribution of advertising messages.


3.4. It is expressly agreed between the Parties that no Order may be canceled without the express written consent of BLUELEMON.
In the absence of such consent, should the Customer nevertheless wish to cancel the Order, the Customer shall remain liable to BLUELEMON for the full amount specified in the Quote for the Order.

Article 4: BLUELEMON's Services

BLUELEMON, working within the budget set by its client, is responsible for providing the following services:

4.1 Development and Implementation of the Advertising Strategy


BLUELEMON is committed to using its best efforts to develop the most appropriate strategic plan in light of the advertising campaign objectives jointly determined by the Parties.
To carry out its mission, BLUELEMON will use programmatic marketing techniques, which optimize the cost and relevance of ad space purchases on an impression-by-impression basis using algorithms specifically designed for this purpose.

The services are provided on a best-efforts basis.

BLUELEMON does not guarantee specific results (performance, leads, audience, conversions), as these depend largely on platforms, algorithms, and market conditions.


4.2 Negotiations with media agencies and advertisers


By accepting these General Terms and Conditions for the Publication of Advertisements, the Client hereby authorizes BLUELEMON to select advertising spaces and negotiate rates with advertising agencies and advertisers based on fluctuations in the advertising space market.
It is expressly understood and agreed by the Parties that BLUELEMON has complete discretion in the selection of advertising agencies and advertisers.


4.3 Submission of Advertising Orders

Unless otherwise agreed upon by the Parties, BLUELEMON shall therefore be solely authorized to enter into and carry out any media buying on behalf of its Client, within the limits of the allocated budget, for the purpose of running the advertising campaign.


BLUELEMON acts as a non-paying agent. In this regard, BLUELEMON may arrange for the payment of invoices from advertising platforms in the name of and on behalf of the Client, using a payment method provided by the Client to BLUELEMON for this sole and exclusive purpose.


BLUELEMON shall not be considered liable for payment of invoices from advertising platforms, as the Customer is solely responsible for such payments.


BLUELEMON agrees to provide the Client with all documentation evidencing the amounts paid to media outlets, advertisers, and advertising agencies in connection with the advertising campaign covered by the Order.


BLUELEMON will report directly to the Client, each month following the end of the Advertising Campaign, on the terms under which the services were performed and the amounts incurred, in accordance with the terms set forth in Article 5 below.

Article 5: Information & Oversight

5.1. During the Advertising Campaign period as specified in the Order, BLUELEMON will provide the Client, on a monthly basis, with a summary report of all activities carried out on the Client’s behalf. This summary will include, in particular:
A detailed breakdown of media placements by medium and placement, specifying:

The date or period of publication or broadcast;
The format;
The placement;
The negotiated rate;
Any technical fees related to publications or broadcasts;
The total amount spent on the advertising campaign.

Investment schedule by month of publication or broadcast.


5.2. In addition, BLUELEMON will inform the Client of any difficulties encountered during the performance of its services.

Completion times are approximate and may be adjusted depending on:

  • delays in the Client's approval
  • changes to the brief
  • due to the late submission of the necessary documents

Any additional requests or substantial changes may result in additional charges.

Article 6: Prices & Payment

6.1. The prices of the Services ordered from BLUELEMON are listed in the Quote; they are quoted in euros, excluding VAT.
Any increase in VAT or any new tax imposed between the time the Order is placed and the start of the Advertising Campaign shall be borne by the Client.


6.2. BLUELEMON’s prices apply solely to the provision of the services described in the Quote, to the exclusion of any other services. Should the Client request an additional service, it will be subject to separate billing. An amended quote would then be prepared. If the Client does not agree to said additional quote, it is understood that BLUELEMON will perform only the services provided for in the Quote initially agreed upon by the Parties.


6.3. Invoices are generally due upon receipt. Payment terms and methods are specified in the Quote.


6.4. Any claim regarding an invoice must be filed within eight (8) days. Otherwise, it will be deemed accepted.


Otherwise, the Customer will no longer be able to dispute this invoice. In the event of late payment, a penalty equal to three (3) times the statutory interest rate will be charged.

6.5 In the event of late payment:

late payment interest equal to three (3) times the statutory interest rate will be charged
a contractual penalty of forty (40) euros per day of delay will be due
a flat-rate fee of €40 for collection costs will be charged

6.6 BLUELEMON reserves the right to immediately suspend any services in the event of a late payment, without compensation to the Customer.

6.7 In the event of nonpayment, all outstanding amounts become immediately due and payable.

Article 7: Obligations and Warranties

7.1. BLUELEMON’s liability under this Agreement is based on an obligation of means and may only be invoked in the event of direct damage, as demonstrated by the Customer, resulting from a failure to comply with the provisions of this Agreement.


7.2. The Parties expressly acknowledge that BLUELEMON has complete discretion in how it uses the budget allocated to the Campaign by the Client and that it will manage the advertising space in accordance with its own strategy.


7.3. BLUELEMON shall not be held liable:

platform decisions or changes
business results


7.4. In any event, the Parties agree to obtain the necessary insurance to cover their civil liability for any direct bodily injury, property damage, or consequential damages for which they may be liable.
This insurance must expressly cover damages that the Customer, its personnel, or third parties may suffer as a result of BLUELEMON’s actions.
BLUELEMON undertakes to maintain these guarantees throughout the term of the contract and to provide proof thereof upon the Client’s request.

Article 8: Intellectual Property & Illegal Content

8.1 In the event that BLUELEMON creates Content:


In the event that Content is created on behalf of the Client, BLUELEMON hereby declares that the delivered Content, regardless of its form (including but not limited to text, images, audio, software, videos, computer code, etc.), shall be transferred to the Client upon full payment of the amount specified in the Quote.

This transfer applies solely to the rights to use the delivered Content and is strictly limited to:

  • the rights actually held by BLUELEMON;
  • in accordance with the terms set forth in the Quote, if applicable (duration, media, territories);

Under no circumstances may the rights granted exceed those obtained by BLUELEMON from its partners, freelancers, creators, or any other third parties.

Upon full payment, BLUELEMON grants the Customer the rights to reproduce, use, adapt, translate, upload, and distribute the delivered Content on any medium known or unknown at this time, for the duration of copyright protection and worldwide, within the limits defined above.

It is expressly agreed that this assignment does not, under any circumstances, apply to:

  • the creative concepts, content formats, program formats, video formats, Brand Channels, or editorial programs developed by BLUELEMON;
  • ideas, creative concepts, narrative techniques, format structures, or editorial angles;
  • the methodologies, frameworks, tools, expertise, and processes developed or used by BLUELEMON;

These items remain the exclusive property of BLUELEMON.

The Customer has no right to reproduce, adapt, reuse, or exploit such Content outside the strict scope of the delivered Content, unless BLUELEMON has given its prior written consent.

Accordingly, the Customer shall, in particular, refrain from:

  • to reproduce or adapt a format or concept developed by BLUELEMON outside the scope of the project;
  • to have these elements used by a third party;
  • to develop or commission the development of content that substantially replicates the characteristics of the formats designed by BLUELEMON;

Unless otherwise expressly stated, the following are not included in the transfer:

  • source files and native files;
  • elements that were not selected or utilized;
  • internal tools, templates, and working documents;

BLUELEMON indemnifies the Customer against any claims by third parties regarding the infringement of their intellectual property rights in the delivered Content, to the extent of the rights granted, and warrants that the distribution of such Content complies with applicable laws.

Article 9: Non-Exclusivity

In the event that BLUELEMON provides the Customer with its advertising message distribution services for content that it did not create, the Customer warrants to BLUELEMON that the advertising messages do not violate any applicable rights, rules, or laws, including intellectual property rights, image rights, and privacy rights.

The Customer is solely responsible for obtaining all rights and authorizations necessary for the distribution of such content, as well as for paying the applicable fees.

Under these circumstances, the Customer agrees to indemnify BLUELEMON against any judgment, claim, or costs (judicial or extrajudicial) arising from the use of the provided content.

For services involving creators, influencers, or user-generated content (UGC), usage rights are limited to the negotiated terms (duration, media, territories), as specified in the Quote or related agreements.

The Customer acknowledges and agrees that BLUELEMON does not guarantee any exclusivity when the Order is placed.
BLUELEMON therefore draws the Customer’s attention to the fact that other customers who may be competitors of the Customer may also benefit from BLUELEMON’s services and offerings in adjacent or contiguous Advertising Spaces during the same period.
The Client hereby waives in advance any liability claim against BLUELEMON arising from this lack of exclusivity, which the Client acknowledges having fully accepted.

Article 10: Non-Solicitation of Employees

Unless otherwise requested and approved by BLUELEMON, the Client agrees never to solicit, for their own personal benefit, directly or indirectly, individuals working for BLUELEMON (including employees, non-employees, partners, shareholders, independent contractors, and freelancers working on their own behalf), in any manner or for any reason whatsoever.
This non-solicitation agreement applies for the entire duration of the contract and for a period of twelve (12) months following the contract’s termination date.

Article 11: Disputes & Termination

Any violation will result in the payment of a lump-sum penalty equivalent to 12 months of average compensation.

The Client agrees not to enter into any direct contracts with any service provider, designer, or partner introduced by BLUELEMON during the term of the engagement and for 12 months following its conclusion.

10.1. These General Terms and Conditions for the Publication of Advertisements shall apply throughout the duration of the advertising campaign conducted by BLUELEMON on behalf of the Client, except in cases of force majeure that delay or prevent either Party from fulfilling its obligations.

Even in cases of force majeure, the party claiming that performance is impossible due to such a cause must nevertheless:

  • Notify the other Party by any means (and confirm in writing) of any event that prevents it from fulfilling its obligations as soon as such event occurs and no later than forty-eight (48) hours thereafter, specifying the nature, the starting point, and the estimated duration of the event constituting force majeure;

  • Take all reasonable steps as soon as possible to remedy this situation, which constitutes a force majeure event.

In the event that one of the Parties fails to perform all or part of its obligations due to force majeure, the advertising contract may be terminated at the request of the other Party, by registered letter with acknowledgment of receipt, without such termination entitling the other Party to any damages.

If the period during which the contract cannot be performed is less than eight (8) days, the parties’ obligations shall be suspended for the duration of the interruption. The contract for the broadcast of advertising messages shall resume normal performance once the event constituting force majeure has ceased, for the remaining term specified in the Order.

10.2. In the event that either Party fails to fulfill its obligations under these General Terms and Conditions for the Publication of Advertising Messages, and such failure is not remedied or resolved within eight (8) days of the sending of a written notice requesting that the Party remedy the breach, the other Party may terminate the contract by sending a registered letter with return receipt requested, without prejudice to claims for damages.

Article 12: Transparency & Financial Ties

Services already provided or contracted remain due in the event of termination.

Each time an Order is confirmed, BLUELEMON agrees to provide its Customer with written notice of any financial relationships it maintains with media outlets or advertising agencies, as well as the amount of any equity stakes.
Furthermore, throughout the duration of any Advertising Campaign, BLUELEMON agrees to provide written notice of any new or modified financial relationships or of any changes to the amount of equity stakes.

Article 13: Confidentiality

Both during the advertising campaign and after its conclusion, BLUELEMON agrees to keep confidential all documents and information provided by the Client, including, but not limited to, its products, plans, budgets, and development projects.

Article 14: Processing of Personal Data

Valid for 5 years after the end of the relationship.

Each Party undertakes to comply with the provisions of Law No. 78-17 of January 6, 1978, known as the “Data Protection Act,” as last amended, as well as with European Regulation No. 2016/679 on the protection of personal data of April 27, 2016, known as the “GDPR.”
BLUELEMON may collect and process personal data of individuals, employees, or collaborators working for its Clients for the purposes of negotiating, concluding, and executing the contract for the distribution of advertising messages.
Each employee or collaborator concerned has the rights provided for by the Personal Data Regulations in accordance with the Privacy Policy available on the Website.

Article 15: Combating Corruption and Influence Peddling

Data may be transferred outside the European Union if necessary to provide the services.

Each Party undertakes to comply with, and to ensure that its employees and subcontractors comply with, the regulations in force regarding fraud and anti-corruption, including Law No. 2016-1691, known as “Sapin II,” dated December 9, 2016, concerning transparency, the fight against corruption, and the modernization of economic life, hereinafter referred to as the Sapin II Law.
Accordingly, the Parties undertake to:
Comply with all applicable regulations aimed at combating fraud, corruption, influence peddling, and illegal collusion;


8.2 In the event of the distribution of advertising messages provided by the Client:

Not to directly or indirectly offer, give, promise, solicit, accept, or imply the intention to do so, with regard to any improper financial benefit or benefit of any other kind, for the benefit of or originating from a private or public entity;

Refrain from any action, omission, or influence—whether directly or through an intermediary—that could result in their liability under the Sapin II Act.

It is understood that any breach of this clause by either Party shall be considered a material breach that may result in the termination of the contractual relationship without notice or compensation, without prejudice to any legal action and/or claim for damages against the defaulting party.

Article 16: Amendments to the Terms and Conditions

BLUELEMON may modify these General Terms and Conditions for the Publication of Advertisements at any time and at its sole discretion.
Any modifications will take effect on the day they are posted on the Website.

Article 17: Validity of these Terms and Conditions

Any tolerance by either Party of the other Party’s failure to perform or imperfect performance of one or more provisions or obligations of these General Terms and Conditions for the Publication of Advertising Messages, whether temporary or permanent, shall not be construed as a waiver, even implied, of the rights arising from said provision.
In the event that any provision of these General Terms and Conditions for the Publication of Advertising Messages is invalidated by a court decision or due to a change in the law, the parties expressly agree that the other provisions of the contract shall remain unaffected and undertake to negotiate as soon as possible to find a legally valid clause to replace the invalidated clause.

Article 18: Governing Law & Disputes

These General Terms and Conditions for the Publication of Advertisements are governed by French law.
The Parties shall make every effort to settle amicably any dispute that may arise between them regarding the application of these General Terms and Conditions for the Publication of Advertising Messages.
In the absence of an amicable agreement between the Parties, any dispute related to the formation or performance of the contract for the publication of advertising messages shall fall under the exclusive jurisdiction of the courts of Paris.
